Message from the chairman, Ron Triffo
At Stantec we have an obligation to our shareholders, clients, employees, and suppliers and to the communities where we do business to govern the Company in their best interests. We recognize this obligation and take it very seriously.

Ensuring that we meet this obligation begins with leadership and commitment from our board of directors as well as a clear set of governance principles that define roles and relationships among the board of  directors, management, and other stakeholders.

We have developed and implemented policies and guidelines that serve to enhance our accountability and further protect the interests of Stantec’s stakeholders. At Stantec we believe that good governance is not merely a legal requirement but also the right thing to do because it speaks to upholding the highest levels of ethics and integrity while conducting business.

The board of directors presently has nine members, the majority of whom are from outside Stantec. Seven of the current directors are unrelated to Stantec, independent of its management, and free from any interest or relationship that could materially interfere with their ability to act in the best interests of the Company.

Integrity

Our business is based on solid practices-a matrix organizational structure that balances the operational and technical aspects of our Company; a focused business model that allows us to manage risk while pursuing continued growth; Risk Management and Practice Enhancement teams dedicated to ensuring good professional practices and loss prevention; and training and development for employees throughout our organization. As our Company evolves, we continue to invest in staff training. We are committed to having the best-trained, best-informed, and best-equipped employees in our industry in order to improve our client service delivery.

At Stantec we know the integrity of a company's board of directors sets the tone for its operations, and we have in place a remarkable group of nine qualified, knowledgeable directors. All members of our board fulfill their roles guiding the management of the Company's business and affairs while adhering to sound corporate governance practices. Our corporate governance model complies with the corporate governance guidelines set out in National Policy 58-201 (NP 58-201), addressing practices in three major areas: stewardship, independence, and expertise.

Stewardship
In assuming responsibility for the stewardship of the Company, our board participates—once yearly—in Stantec’s strategic planning process with senior management along with periodically reviewing management’s performance on key strategic and operational objectives. Succession planning, particularly for the President & CEO, also comes under board review as well as compensation of board members. Other responsibilities include identifying the Company’s principal risks and regularly monitoring the systems in place for managing these risks in order to protect shareholder value. Our board also performs the important task of defining the responsibilities of management by establishing limits of authority and ensuring the integrity of internal control and management information systems.

Independence
In keeping with corporate governance guidelines, we maintain a board structure in which a majority of directors are independent. As well, the board’s two committees, the Corporate Governance and Compensation Committee and the Audit Committee, are both composed entirely of independent directors. Each board meeting includes a session held without management present. The Corporate Governance and Compensation Committee carries out performance assessments of the board and its committees on an annual basis and may authorize individual directors to consult independent advisors at the Company’s expense.

Expertise
One step we take to achieve compliance with the NP 58-201 guidelines for supporting board quality and expertise is to host management presentations at board meetings throughout the year on topics relating to different aspects of the Company’s business. We also hold at least one meeting per year at a location other than Stantec’s corporate office to give directors the opportunity to meet with local managers in our three regions. Additional practices include maintaining a Directors’ Reference Manual, which is updated regularly, and having measures in place to ensure the financial literacy and expertise of our Audit Committee. When necessary, we provide orientation and education for new directors.

To do this we need to expand both the depth and breadth of our professional services to achieve the ability to serve global clients. We believe continued growth will increase shareholder value and give Stantec employees the opportunity to work with the best clients on the best projects and to provide the best services.

With more than 300 LEED® accredited professionals and a portfolio of hundreds of sustainable projects, we are applying sustainable practices in all aspects of our business. Our commitment is to meet the needs of the present while contributing to an environmentally sustainable future for approaching generations.

Stantec believes in an integrated approach to environmentally conscious design, one that involves all of our professional disciplines. Therefore, we provide sustainable design and consulting services in planning, architecture, engineering, surveying, and project management.

At Stantec sustainable design is responsible design that balances economic, social, and environmental values and constitutes the cornerstone of our vision.

Stantec contributes to organizations or designated programs primarily in communities where we have a significant employee presence. Priority is given to funding programs in the following areas:

  • Arts
  • Education
  • Environment
  • Health & Wellness

To this end, Stantec will target to donate one percent of its annual pretax profits to charitable and nonprofit organizations, encourage personal charitable giving by employees, and promote and facilitate volunteerism by employees. This target will be met through direct cash contributions or services in kind.

Arts

Support for the arts may include visual and performing arts organizations, museums, art education programs, symphonies, community art festivals, arts funds/councils, and public television/radio. Stantec does not fund individual artists.

Education

Support for this area focuses on scholarships and educational programs. Stantec is interested in supporting school/business partnerships and programs that help achieve objectives such as encouraging elementary or secondary students to pursue higher education or training with an emphasis on design disciplines. Generally, Stantec does not provide direct funding to student groups.

For information regarding Stantec scholarships, please inquire at your local university or college.

Environment

Support for the environment focuses on programs that promote sustainable development, environmental responsibility, energy efficiency, air quality, and climate change.

Health & Wellness

Support for this area focuses on recognized and credible health charities and organizations. Representative organizations and programs may include national, provincial, or state charitable health organizations; and/or regional hospitals and health centers.

Requests for support must be made via our online application form.
An initial review of your request will be made by a Company representative. If the request falls within our funding guidelines and meets the current interest and focus of Stantec's Community Investment Program, it will be reviewed at a Corporate and/or regional level. You may be asked to provide additional information prior to consideration.

Please allow at least 90 days for a response to your application.

In some cases, applications that do not meet community investment funding guidelines may be considered for marketing or business development investment. These requests will be forwarded to the appropriate department for consideration.

Since the Company cannot provide support for all the programs submitted to the Community Investment Program, we choose organizations that best meet our funding priorities and guidelines. At times, we may decline investing in a worthy program because we have already committed to budget for that priority.

Stantec's funding focus does not include organizations whose principles may pose a conflict with Stantec's values such as:

  • Animal rights organizations or activists
  • Beauty or talent contests
  • Individual sponsorships
  • Competitive or professional sports
  • Labor groups
  • Loans for small businesses
  • Profit-making enterprises
  • Ethnic or religious organizations, unless their services or resources are available equally to other groups
  • Requests from third-party fundraisers
  • Film production/publishing activities
  • Conferences, seminars, or workshops
  • Travel, accommodation, meal expenses, field trips, or tours
  • Organizations that discriminate on the basis of race, religion, creed, gender, age, or disability

We take a sustainable approach to our projects, and we focus on life cycle solutions that encourage our clients to consider the environment and resource efficiency. In everything we do, we strive to ensure that our business practices and design approaches "meet the needs of the present without compromising the future."

This publication presents only a small sample of the many projects we work on, outlining the different ways we apply our sustainable values and expertise to project solutions. Our experience with and commitment to sustainability are indeed impressive. We were early pioneers in the use of constructed wetlands. We are leaders in the design and integration of light rail transit facilities into the urban fabric. We are designing the first Leadership in Energy and Environmental Design (LEED®)-certified airport in Canada and the second in North America. We provide services that support the installation and operation of wind farms for generating renewable energy. We help our clients rehabilitate and develop contaminated land sites. And we design innovative thermal control systems using seawater to eliminate the need for traditional chiller systems in facilities.

The publication also highlights some of our staff as well as office initiatives we put into practice every day. Our staff cycle and walk to work. We provide energy-efficient and low-emission vehicles for employees to use for intracity business travel. We practice vermiposting, a method of composting employing worm cultures, to promote environmentally friendly waste disposal. And we have installed a "green roof” at our headquarters to help reduce the "heat island" effect that is common in metropolitan areas and manage stormwater runoff.

In 1954 our founder, Dr. Don Stanley, a Harvard graduate in environmental engineering, set out to improve the quality of life in small towns in western Canada by designing innovative, economically feasible municipal water supply and sewage systems. In 50 short years, we’ve evolved from his one-person consulting engineering business working out of a 250-square foot office in Edmonton, Alberta, into a more than 4,500-person multidiscipline design firm operating from over 50 offices across North America. 50 Years Strong is a celebration of this evolution.

Stantec’s story is the story of our relationships with our clients. It’s the story of how we’ve continued to improve the quality of life in communities throughout the world working behind the scenes through our projects. And it’s the story of the people who have contributed their bold ideas, expertise, and skills to meeting our clients’ needs and making our projects successful. Our projects create the communities where we live, the fresh air we breathe, the clean water we drink, and the safe roads we travel, among many other of life’s necessities.

This book is organized to showcase projects that helped shape our Company through three eras of growth—the Don Stanley Era: Setting the Foundation, 1954–1983; the Ron Triffo Era: Diversifying Our Company, 1983–1998; and the Tony Franceschini Era: Achieving Our Goals, 1998–Present. The projects featured here are only a small representation of the services we’ve provided to our clients over the years. Since our beginning, we’ve completed over 40,000 projects for some 4,000 clients in more than 80 countries. Although it’s impossible to highlight them all, we recognize that all our projects have merit.

In these pages we’re also proud to feature 50 of the “Great Faces of Stantec”—50 current employees who are recognized by their peers as representative of our Company’s spirit. At the same time, we acknowledge the hundreds of employees past and present who have contributed to our success and are not mentioned here.

Finally, the book presents a timeline of our evolution highlighting, at a glance, our Company’s major milestones.

<p style="margin-top:0px"><b>Drawing Out Ideas</b></p> <p>Whether inventing, introducing, or adapting processes and designs, Stantec provides innovative solutions across a wide range of markets and regions.</p> <p>“There’s a way to do it better,” wrote Thomas Edison. “Find it.” For Stantec, finding better ways of doing things is one of the main reasons we exist. Whether inventing new designs and processes, such as a holistic approach to risk management that helps clients deliver projects on time and on budget; introducing existing ideas to new regions, like using recycled tires in highway embankment and constructed wetland projects; or significantly adapting existing ideas to meet project-specific challenges and goals, such as adding traffic lights to the “superstreet” concept, Stantec is in the business of innovation.</p> <p>Innovation requires the imagination and will to look at existing challenges in new ways, the way our architects asked, “Why not design hospitals where patients can feel more at home?” or the way our engineers found stream restoration solutions that reduce project scope, cost, and ecological impact. It begins with the interplay of often illogical, sometimes even irreverent ideas and is a process best tackled with Nobel Prize laureate Linus Pauling’s thought in mind: “The best way to have a good idea is to have a lot of ideas.”</p> <p>But good ideas can’t exist in a vacuum. As this publication shows, Stantec explores them in the real world, a world where constraints of time, money, and resources must be factored in before the right idea can be drawn out.</p>

Chez Stantec, nous avons une obligation envers nos actionnaires, clients, employés et fournisseurs ainsi que les communautés où nous faisons des affaires, pour gérer la compagnie en tenant compte de leurs intérêts fondamentaux. Nous reconnaissons cette obligation et nous la prenons très au sérieux.

Nous faisons tout d’abord face à cette obligation par le leadership et l’engagement de notre conseil d’administration. De plus, nous avons mis en place un ensemble de principes transparents de gouvernance lesquels définissent les rôles et les relations entre le conseil d’administration, la direction et les autres actionnaires.

Nous avons élaboré et mis en place des politiques et des directives qui servent à améliorer notre responsabilité et protéger davantage les intérêts des actionnaires de Stantec. Chez Stantec, nous croyons qu’une bonne gouvernance n’est pas simplement une exigence juridique mais aussi la bonne chose à faire, parce que cela montre bien le maintien des niveaux les plus élevés en matière d’éthique et d’intégrité dans l’exercice des activités de notre entreprise.

Le conseil d’administration compte actuellement huit membres, dont la plupart proviennent de l’extérieur de Stantec. Six des directeurs actuels n’ont aucun lien avec Stantec. Ils sont indépendants de sa gestion et ils n’ont aucun intérêt ou relation qui pourrait affecter matériellement leur capacité d’agir au mieux des intérêts de la compagnie.

La planification de la relève, tout particulièrement pour le président et directeur général, fait également l’objet d’une étude par le conseil d’administration, de même que la rémunération des membres du conseil. Le conseil d’administration a également la responsabilité d’identifier les risques principaux pour la compagnie, et d’assurer la surveillance régulière des systèmes en place pour la gestion de ces risques afin de protéger la valeur des actionnaires. Notre conseil exécute également la tâche importante de définir les responsabilités de la direction en établissant les limites de l’autorité et en assurant l’intégrité du contrôle interne et la gestion des systèmes informatiques.

L’indépendance
Afin de respecter les directives d’une gouvernance indépendante, tous les directeurs de notre conseil d’administration, autres que notre président et directeur général, n’ont aucun lien avec Stantec. De plus, les deux comités de notre conseil d’administration, le Comité chargé de la régie et de la rémunération et le Comité de vérification sont tous deux composés entièrement de directeurs provenant de l’extérieur. Chaque réunion du conseil comprend une séance tenue sans la présence de la direction. Le Comité chargé de la régie et de la rémunération est responsable de l’évaluation des performances du conseil et de ses comités à chaque année, et il peut autoriser les directeurs individuels à consulter des conseillers de l’extérieur, aux frais de la compagnie.

L’expertise
Pour réaliser la conformité avec les directives NP 58-201 afin d’assurer la qualité et l’expertise du conseil d’administration, la direction effectue des présentations lors des réunions du conseil tenues tout au long de l’année sur des sujets portant sur différents aspects des affaires de la compagnie. Nous tenons également, au moins une fois par année, une réunion dans un endroit autre que dans les bureaux de Stantec pour donner aux directeurs l’occasion de rencontrer les dirigeants de nos trois régions. D’autres pratiques comprennent le maintien du Manuel de référence des directeurs, dont la mise à jour est effectuée régulièrement, ainsi que la mise en place de mesures pour assurer les compétences et l’expertise financières de notre Comité de vérification. Nous offrons au besoin des séances d’orientation et de formation aux nouveaux directeurs.
