Our corporate governance model complies with the corporate governance guidelines set out in National Policy 58-201 (NP 58-201), addressing practices in three major areas: stewardship, independence, and expertise. Stewardship In assuming responsibility for the stewardship of the Company, our board participates in Stantec’s strategic planning process with senior management along with periodically reviewing management’s performance on key strategic and operational objectives. Succession planning, particularly for the President & CEO, also comes under board review as well as compensation of board members. Other responsibilities include identifying the Company’s principal risks and regularly monitoring the systems in place for managing these risks in order to protect shareholder value. Our board also performs the important task of defining the responsibilities of management by ensuring the integrity of internal control and management information systems. Independence In keeping with corporate governance guidelines, we maintain a board structure in which a majority of directors are independent. As well, the board’s two committees, the Corporate Governance and Compensation Committee and the Audit and Risk Committee, are both composed entirely of independent directors. Each board meeting includes a session held without management present. The Corporate Governance and Compensation Committee carries out performance assessments of the board and its committees on an annual basis and may authorize individual directors to consult independent advisors at the Company’s expense. Expertise One step we take to achieve compliance with the NP 58-201 guidelines for supporting board quality and expertise is to host management presentations at board meetings throughout the year on topics relating to different aspects of the Company’s business. We also hold meetings at a location other than Stantec’s corporate office to give directors the opportunity to meet with local managers in our five regions. Additional practices include maintaining a Directors’ Reference Manual, which is updated regularly, and having measures in place to ensure the financial literacy and expertise of our Audit and Risk Committee. Environment Support for the environment focuses on programs that promote sustainable development, environmental responsibility, energy efficiency, air quality, and climate change. Health & Wellness Support for this area focuses on recognized and credible health charities and organizations. Representative organizations and programs may include national, provincial, or state charitable health organizations; and/or regional hospitals and health centers. | Requests for support must be made via our online application form. An initial review of your request will be made by a Company representative. If the request falls within our funding guidelines and meets the current interest and focus of Stantec's Community Investment Program, it will be reviewed at a Corporate and/or regional level. (an Inuit company) formed a partnership with Stantec to provide environmental and engineering consulting services within Nunatsiavut, Labrador. Aivek has successful relationships with industry throughout Labrador including ongoing collaboration with the mining industry, and Inuit, provincial, and federal government departments. Deton' Cho Stantec Deton' Cho Stantec is a partnership between the Yellowknives Dene First Nation's economic development organization, the Deton' Cho Corporation, and Stantec which provides full engineering and environmental consulting services throughout the Yellowknives traditional territory (Chief Drygeese Territory) in the Northwest Territories. Deton' Cho Stantec is one of over 20 partnerships operating under the Deton' Cho group of companies providing services to a variety of clients throughout the Northwest Territories. KAVIK-STANTEC INC. KAVIK-STANTEC is a unique blend of Inuvialuit majority ownership and management with respected and experienced northern consulting and community consultation experience. Recognized as a leading environmental impact assessment and protection planning company in northern Canada, KAVIK-STANTEC has expertise in study design, understanding regulatory frameworks, field data collection, public consultation, traditional knowledge studies, analysis, data interpretation, and reporting. Neegan Naynowan Stantec LP Neegan Naynowan Stantec is a partnership with the Attawapiskat First Nations to provide scientific, engineering and geosciences services in Ontario's north including training and services such as environmental impact assessment, site assessments, environmental monitoring and sampling. Neegan Naynowan Stantec is conducting various projects for aboriginal communities, government and resources industries in Northern Ontario. Nunami Stantec Limited Nunami Stantec is a majority Inuit-owned consulting company based in Rankin Inlet, Nunavut. Nunami is a partnership between the Sakku Investment Corporation and Stantec, providing environmental science and engineering services to organizations throughout all three regions of Nunavut. Nunami delivers quality services and solutions to clients while providing employment, training, and financial benefit to beneficiaries under the Nunavut Land Claim Agreement. Nu Nennè-Stantec Inc. Nu Nennè-Stantec is a partnership between the Cold Lake First Nation (CLFN) and Stantec. This partnership provides environmental and cultural services to clients operating in the CLFN Traditional Territories. The success of the Nu Nennè-Stantec partnership is based on a cross-cultural awareness and integrated approach to assessment and management that integrates CLFN traditional knowledge, conservation ethics, and land stewardship with the strong western science and regulatory experience provided by Stantec professionals. Stassinu Stantec LP Stassinu Stantec is a partnership between Stassinu Services Inc. (SSI) and Stantec that provides environmental sciences and engineering, management consulting, and logistics in Nitassinan, Labrador (Innu Lands). SSI combines Innu knowledge and experience in various environmental and geological studies with extensive experience working in remote field situations, requiring adaptable and flexible skills. Notre modèle de gouvernance de l’entreprise est conforme aux directives de gouvernance d’entreprise telles qu’établies dans la politique nationale 58-201 (NP 58-201), laquelle porte sur les pratiques dans trois domaines importants : la gérance, l’indépendance et l’expertise. La gérance En assumant la responsabilité de la gérance de la compagnie, notre conseil d’administration participe avec la haute direction, une fois par année, au processus de planification stratégique de Stantec, et passe en revue périodiquement la performance de la direction sur les objectifs stratégiques et opérationnels clés. La planification de la relève, tout particulièrement pour le président et directeur général, fait également l’objet d’une étude par le conseil d’administration, de même que la rémunération des membres du conseil. Le conseil d’administration a également la responsabilité d’identifier les risques principaux pour la compagnie, et d’assurer la surveillance régulière des systèmes en place pour la gestion de ces risques afin de protéger la valeur des actionnaires. Notre conseil exécute également la tâche importante de définir les responsabilités de la direction en établissant les limites de l’autorité et en assurant l’intégrité du contrôle interne et la gestion des systèmes informatiques. L’indépendance Afin de respecter les directives d’une gouvernance indépendante, tous les directeurs de notre conseil d’administration, autres que notre président et directeur général, n’ont aucun lien avec Stantec. De plus, les deux comités de notre conseil d’administration, le Comité chargé de la régie et de la rémunération et le Comité de vérification sont tous deux composés entièrement de directeurs provenant de l’extérieur. Chaque réunion du conseil comprend une séance tenue sans la présence de la direction. Le Comité chargé de la régie et de la rémunération est responsable de l’évaluation des performances du conseil et de ses comités à chaque année, et il peut autoriser les directeurs individuels à consulter des conseillers de l’extérieur, aux frais de la compagnie. L’expertise Pour réaliser la conformité avec les directives NP 58-201 afin d’assurer la qualité et l’expertise du conseil d’administration, la direction effectue des présentations lors des réunions du conseil tenues tout au long de l’année sur des sujets portant sur différents aspects des affaires de la compagnie. Nous tenons également, au moins une fois par année, une réunion dans un endroit autre que dans les bureaux de Stantec pour donner aux directeurs l’occasion de rencontrer les dirigeants de nos trois régions. D’autres pratiques comprennent le maintien du Manuel de référence des directeurs, dont la mise à jour est effectuée régulièrement, ainsi que la mise en place de mesures pour assurer les compétences et l’expertise financières de notre Comité de vérification.
