Our client wanted to acquire several manufacturing plants in northern and eastern China, so they commissioned us to evaluate the environmental, health, and safety (EHS) compliance status of the target company with strict confidentiality. The conclusion of the evaluation would serve as one basis for making an acquisition decision.
We set up a dedicated team to perform the EHS due diligence (DD), including the development of a questionnaire, document review, personnel interview, and site visit. All team members were trained and approved by the client before getting access to the project database. To evaluate the EHS performance of the target company without leaking confidential information to site staff, we developed a project-specific standard operation procedure for the personnel interviews and site visits.
The EHS DD provided the client with detailed evidence regarding the target company’s EHS performance and potential EHS-related risks/obligations, which helped support the client’s transaction decision.
